Company details

Information ASIC needs for company registration.

Directors

Add each director. All directors must be 18 or over and have a Director ID.

Note, all directors must apply for a Director ID before being appointed. Apply at abrs.gov.au.

Secretary

Every company must have at least one secretary. Choose who will be appointed.

Public officer

For tax purposes, every company must appoint a public officer within 3 months of registration.

Shareholders

Add each shareholder and the shares they're being issued.

Need custom share rights? If you need different dividend, voting, or liquidation rights between classes, describe what each class does in special requests. We'll draft the constitution accordingly.

Consents to act

Each director, secretary and shareholder must give written consent before the company can be registered.

If consents aren't yet signed, we'll include them in the document pack. We won't lodge anything with ASIC until you confirm in writing that consents have been obtained.

Tell us about anything unusual, urgent timing, custom share rights, complex shareholder arrangements, dividend access shares, or anything else worth knowing. Custom work may incur additional fees, which we'll quote in writing before any extra work starts.

Costs Agreement — Kallan Lawyers Pty Ltd

This costs agreement is between Kallan Lawyers Pty Ltd (we, us, our) and the client identified in this order (you, your). By ticking the box below, you accept these terms.

  1. Work to be done. We will prepare the documents you have ordered above, in their standard form, based on the information you have provided through this order form. Our work is limited to drafting, formatting and delivering those documents in electronic form ready for execution.
  2. Total fee. The total fixed fee payable for this work is $0.00 inc. GST, including every add-on service selected above (printing, stamping or similar). No further professional fees will be charged for the work in scope.
  3. When the fee is payable. The fee is payable on or before delivery of the documents. We will issue a tax invoice on receipt of this order.
  4. What's not included. The fee does not cover legal, tax, accounting or financial advice on the suitability of the structure, the parties or the transaction; non-standard amendments; or additional work requested after the documents have been finalised. Any additional work will be quoted separately and only undertaken with your written instructions.
  5. Your right to negotiate. You have the right to negotiate this costs agreement. You may also request an itemised bill within 30 days of receiving any final bill.
  6. If something goes wrong. If you have a concern about our costs or services, please contact us first so we can resolve it. You may also contact the Victorian Legal Services Board + Commissioner about a costs dispute.
  7. Limitation of liability. Our total aggregate liability arising from or in connection with this engagement is limited to the fee paid. To the maximum extent permitted by law, we exclude liability for consequential, indirect, special or third-party loss.
  8. Termination. Either party may terminate the engagement at any time on written notice. If you terminate before delivery, we will charge a reasonable amount for the work done to that point.
  9. Acceptance. By ticking the acceptance box, you confirm you have read this costs agreement and accept its terms.
